SCOPE OF TERMS

The following Terms of Use (“Terms”) governs your use of the website and application (collectively, the “Platform”) created and/or owned by BIDONWORK.COM LLC (“BidonWork,” the “Company,” “we” or “us”). By accessing the Platform and clicking to accept, you agree to be bound by and comply with the terms and conditions of these Terms. If, at any time, you choose not to accept the terms and conditions of these Terms, do not access or use the Platform.

Please note: This Platform is offered and available to users who are 18 years of age or older, and are otherwise eligible to form a binding contract. BIDONWORK.COM LLC makes no representations or guarantees that information on its Platform is accurate. BIDONWORK.COM LLC asks users who submit content to affirm that any information in the content is accurate, but BIDONWORK.COM LLC does not verify the accuracy of the information submitted by users. All content on the Platform is provided solely to assist users in exercising their own best judgment and at their own risk.

CHANGES TO THE TERMS

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. We will use commercially reasonable efforts to notify you of any changes, but you are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

INFORMATION AND PASSWORDS

You may register and create a personal account to access certain features and functions of the Platform. You are solely responsible for maintaining the confidentiality of all your user information except for your First Name, Last Name, User Rating, and Phone Number, and are fully responsible for all activities that occur under your account. BIDONWORK.COM LLC does not retain liability or responsibility for such use. You agree that all information you provide to register with this Platform or otherwise, including, but not limited to, through the use of any interactive features on the Platform, is governed by our Privacy Policy [https://www.bidonwork.com/privacy], and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

FEES

Currently there are no fees charged to the users of the site. Fees for various services may be offered in the future, and the terms of service may change to reflect this implementation.

USER SUBMISSIONS

User Content includes but is not limited to, any text, images, photos, audio, video, location data, ratings, reviews, compilations, messages or other information that is publicly displayed by you. BIDONWORK.COM LLC asks users who submit User Content to affirm that any information in the content is accurate, but BIDONWORK.COM LLC does not verify the accuracy of the information submitted by users.

By submitting User Content to any part of the Platform, you represent and warrant that:

You are the sole author and owner of any intellectual property protected User Content you submit;
You are solely responsible for any contributions, comments or postings you submit, including any feedback or questions;
All User Content that you post is accurate;
You are at least 18 years old;
Your use of the User Content does not violate this Terms and will not cause injury to any person or entity;
You have not been offered, have not accepted, and are not entitled to receive any compensation in any form and from any party in connection with submitted User Content; and
You will indemnify, defend and hold harmless BIDONWORK.COM LLC, its officers, directors, employees and agents from any third party claim(s) and any damages, losses or injuries resulting from the display of your User Content.

You further agree and warrant that you will not:

Submit any User Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful or racially, ethnically or otherwise objectionable;
Submit any User Content that contains software viruses or any other computer/mobile application code, files or programs designed to interrupt, destroy or limit the functionality of any computer/mobile application software, hardware or telecommunications equipment;
Submit any User Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
Submit any User Content that is false or misleading;
Use the Platform for sales and marketing purposes;
Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
Invade another’s privacy in any way, including posting another’s personal details without their prior permission;
Manipulate identifiers in order to disguise the origin of any User Content submitted;
Act in a manner that affects other users’ ability to engage in real time exchanges;
Intentionally or unintentionally violate any applicable local, state, provincial, national or international law.

You acknowledge that BIDONWORK.COM LLC and its affiliates have the right in their sole discretion, to remove, refuse, move, edit or delete any User Content submitted, regardless of whether such content violates these Terms.

Any submission to the Platform will be deemed and remain the property of BIDONWORK.COM LLC. By submitting User Content to the Platform you hereby grant BIDONWORK.COM LLC and its affiliates a royalty-free, perpetual, irrevocable, world-wide license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform and display the User Content in any media or medium, form, format or forum.

BIDONWORK.COM LLC shall not be subject to any obligations of confidentiality regarding User Content except as expressly agreed by BIDONWORK.COM LLC, or as otherwise required by applicable law. Nothing contained in this Terms shall be construed as limiting BIDBONWORK.COM LLC’s rights, responsibilities and obligations under its Privacy Policy.

BIDONWORK.COM LLC’s INTELLECTUAL PROPERTY

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) (the “BIDONWORK.COM LLC Content”) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws, and BIDONWORK.COM LLC retains all rights, title and interest, including all intellectual property rights, in and to the BIDONWORK.COM LLC Content. In addition, these Terms grant you no right, title, or interest in any intellectual property owned or licensed by BIDONWORK.COM LLC, including BIDONWORK.COM LLC’s registered trademarks, service marks, logos, brand names, trade dress and trade names (“Trademarks”).

You have no rights in or to such BIDONWORK.COM LLC Content or Trademarks and you will not use any BIDONWORK.COM LLC Content or Trademarks, except as specifically permitted under these Terms. You may not do or allow anyone else to do anything with the BIDONWORK.COM LLC Content or Trademarks which is not specifically permitted under these Terms. You may not use or display BIDONWORK.COM LLC’s Trademarks in any manner without BIDONWORK.COM LLC’s prior written consent. Unless we specifically consent in writing, BIDONWORK.COM LLC’s Trademarks may not be used in connection with any product or service that does not belong to us, in any manner that is likely to cause confusion, or in any manner that disparages or discredits BIDONWORK.COM LLC.

Unless otherwise specifically set forth on the Platform or unless written consent is provided, you may only use and access, download and copy the BIDONWORK.COM LLC Content for your personal, non-commercial use, and you will not alter, erase or otherwise obscure our copyright, trademark, proprietary or other notices on the BIDONWORK.COM LLC Content. You acknowledge and agree that the BIDONWORK.COM LLC Content is made available to connect community members with service-based projects, and is provided to assist you in exercising your own judgment when deciding who you will engage to provide or receive services. The accuracy of BIDONWORK.COM LLC Content is not guaranteed, and BIDONWORK.COM LLC makes no representation or warranty of any kind. Unless otherwise specifically specified on the Platform, such as a BIDONWORK.COM LLC rating or alert, BIDONWORK.COM LLC Content should not be construed as a representation of the opinions of BIDONWORK.COM LLC. BIDONWORK.COM LLC does not give legal advice. Your reliance upon BIDONWORK.COM LLC Content obtained through the Platform is solely at your own risk. All rights not expressly granted in this Terms are reserved to us.

NOTIFICATION OF INFRINGING COPYRIGHT-PROTECTED CONTENT

Material may be made available on Platform by third parties not within our control. While we use commercially reasonable efforts to scan material used in connection with the Platform, we may not always immediately recognize or catch the inclusion of illegal or impermissible Content. However, we respect the copyright interests of others. It is our policy not to permit material known by us to infringe upon another party's copyright to remain on the Platform.

To notify BIDONWORK.COM LLC of alleged copyright or trademark infringement on the Platform, in accordance with 17 U.S.C. §512(C)(3), you should provide us with written notice that at a minimum contains:

A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works;
Identification of the copyrighted work that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit BIDONWORK.COM LLC to locate the material;
Information reasonably sufficient to permit BIDONWORK.COM LLC to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Upon receipt of the above information, BIDONWORK.COM LLC will promptly investigate and take appropriate action, then notify you of that action at the contact address provided.

PROHIBITED USES

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the User Content Guidelines set out above.
To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm the Company or users of the Platform, or expose them to liability.

Additionally, you agree not to:

Use the Platform in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Platform, including their ability to engage in real time activities through the Platform.
Use any robot, spider, or other automatic device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
Use any manual process to monitor or copy any of the material on the Platform, or for any other purpose not expressly authorized in these Terms , without our prior written consent.
Use any device, software, or routine that interferes with the proper working of the Platform.
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Platform, the server on which the Platform is stored, or any server, computer, or database connected to the Platform.
Attack the Platform via a denial-of-service attack or a distributed denial-of-service attack.
Otherwise attempt to interfere with the proper working of the Platform.

NON CIRCUMVENTION AND OTHER LEGAL COMPLIANCE

You expressly agree that you will not without our consent knowingly enter into an agreement with a prospective customer or service provider with whom you would not have connected or by whom you would not have been contacted but for the Platform. and not otherwise use the Platform or the information you have accessed through the Platform to circumvent or otherwise avoid payment to us in exchange for access to such customer or service provider.

The Platform may only be used for lawful purposes as governed by any applicable international, national/federal, state, provincial or local laws, statutes, and regulations. You may not use the Platform in any way that could result in criminal or civil liability. Use of the Platform from outside of the United States shall be in compliance with the laws of the jurisdiction from which you access the Platform.

We have the right to:

Remove or refuse to post any User Content for any or no reason at our sole discretion.
Take any action with respect to any User Content that we deem necessary or appropriate in our sole discretion, including if we believe that such User Content violates the Terms of Use, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Platform or the public, or could create liability for the Company.
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Platform.
Terminate or suspend your access to all or part of the Platform for any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Platform. YOU WAIVE AND HOLD HARMLESS THE COMPANY FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT AUTHORITIES.

DISCLAIMER OF WARRANTY

BIDONWORK.COM LLC DOES NOT WARRANT OR GUARANTEE THE ACCURACY, ADEQUACY, TIMELINESS, RELIABILITY, COMPLETENESS, OR USEFULNESS OF THE PLATFORM AND DISCLAIMS ANY LIABILITY FOR ERRORS OR OMISSIONS IN PLATFORM. THE PLATFORM IS PROVIDED "AS-IS" WITHOUT ANY WARRANTY, EITHER EXPRESS OR IMPLIED. BIDONWORK.COM LLC DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF NON-INFRINGEMENT, TITLE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTY THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THIS DOES NOT AFFECT THOSE WARRANTIES THAT ARE NOT SUBJECT TO EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS TERMS.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE PLATFORM IS ACQUIRED AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOU, AND YOUR OWN COMPUTER SYSTEM AND/OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD/RETRIEVAL OF ANY SUCH MATERIAL.

INDEMNIFICATION

You agree to indemnify and hold harmless BIDONWORK.COM LLC and its respective officers, directors, employees, agents, independent contractors or licensors (collectively the "BIDONWORK.COM LLC Parties") from and against any and all claims, losses, expenses, demands or liabilities, including attorneys' fees and costs, incurred by the BIDONWORK.COM LLC Parties in connection with any claim by a third party (including any intellectual property claim) arising out of (i) your use of the Platform and any material you access using the Platform or by any other means; (ii) a third party's use of such material that you access using the Platform and make available to such third party; or (iii) your violation of this Terms or any applicable law. You further agree that you will cooperate fully in the defense of any such claims. BIDONWORK.COM LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any such claim or matter without the written consent of the relevant BIDONWORK.COM LLC Parties.

LIMITATION OF LIABILITY

Under no circumstances shall BIDONWORK.COM LLC be liable to you or any other party for any direct, indirect, special, consequential or exemplary damages, including but not limited to, damages for lost profits, business interruption, goodwill or other intangible/tangible losses of any kind arising from or relating in any way to (i) your use of, or inability to use, the Platform or the information contained in the Platform; (ii) any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer/mobile device virus or line or system failure; and (iii) any other matter relating to the Platform, even if advised of the possibility of such damages.

THIRD PARTY LINKS

For your convenience and in addition to the connections we facilitate between customer and service providers, the Platform may provide links to products or services, including payment processing services or background check services offered on other websites or applications. Unless expressly stated otherwise, BIDONWORK.COM LLC does not endorse, approve, sponsor or control, and we are not in any way responsible for, any of the content, services, calculations, information, products or materials available at or through any websites to which this Platform may provide a link. By using the Platform you acknowledge and agree that BIDONWORK.COM LLC will not be responsible or liable to you or any other person for any damages or claims that might result from your use of such content, services, calculation, information, products or materials. You should carefully review each website’s privacy statements and conditions of use to understand your rights and responsibilities.

RELATIONSHIP

Your use of the Platform does not create, and nothing contained in this Terms will be deemed to establish, an employment, agency, franchise, joint venture or partnership relationship between you and BIDONWORK.COM LLC. Use of the Platform does not provide you with the authority to enter into any Terms for or on behalf of BIDONWORK.COM LLC. Moreover, use of the Platform does not grant you the authority, either express or implied, to incur obligations or liability on behalf of BIDONWORK.COM LLC. By using the Platform, you agree that no attempts to subject BIDONWORK.COM LLC to any such obligations or liability will be made.

WAIVER AND SEVERABILITY

Failure by BIDONWORK.COM LLC to enforce any of its rights under this Terms shall not be construed as a waiver of those rights or any other rights in any way whatsoever. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, the remaining provisions of the Terms shall be enforced to the fullest extent possible and will continue in full force and effect.

CHOICE OF LAW AND DISPUTE RESOLUTION

This Terms and all other aspects of your use of the Platform shall be governed by and construed in accordance with the laws of the State of Arizona, U.S.A., without regard to its conflict of laws and rules. You agree that you will notify BIDONWORK.COM LLC in writing of any claim or dispute concerning or relating to your use of the Platform and give BIDONWORK.COM LLC a reasonable period of time to address it before bringing any legal action. You agree to submit to the personal jurisdiction of the state and federal courts located in the City of Mesa, Arizona, and county of Maricopa in Arizona, U.S.A.
